1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of services provided by SML Ltd("we", "us", or "our"), doing business as Social Media Latino Ltd. By accessing our website, Customer Portal, or using our services—including social media automation, AI-powered bots, content management, audience analytics, and related tools ("Services")—you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Description of Services

Our Services enable automation of social media tasks, such as posting, scheduling, engagement via AI bots (e.g., support bots, e-commerce bots), profile boosting, analytics, and VPS hosting for marketing tools. Services are provided "as-is" and may integrate with third-party platforms (e.g., Instagram, TikTok, X). We do not own or control these platforms.

3. User Eligibility and Accounts

You must be at least 18 years old and legally capable to enter contracts. You agree to:

• Provide accurate registration information for your Customer Portal account.
• Maintain account security (e.g., strong passwords).
• Notify us immediately of unauthorized access.
• Be solely responsible for all activity under your account.

4. User Obligations

You agree not to:

• Use Services to violate third-party platform policies (e.g., spam, fake engagement).
• Upload malicious code, viruses, or harmful content.
• Interfere with Service operation or other users.
• Reverse engineer, copy, or resell our Services.
• Use bots in ways that violate applicable laws or regulations.

5. Third-Party Integrations

Our Services connect to social media platforms via APIs. You grant us permission to access your accounts as needed to deliver functionality. You remain responsible for complying with each platform’s Terms of Service. We are not liable for account suspensions or bans caused by your use of our automation tools.

6. Intellectual Property

We own all rights to the Services, including software, designs, and branding. You are granted a limited, non-transferable license to use the Services during your subscription. You retain ownership of your content but grant us a worldwide, royalty-free license to process it for service delivery.

7. Payments and Subscriptions

Services are offered on a subscription basis. You agree to pay all fees on time. We may suspend access for non-payment. Prices may change with 30 days’ notice. Refunds are not provided except as required by law.

8. Termination

We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or harm our systems or reputation. Upon termination, you must cease using the Services and destroy any downloaded materials.

9. Disclaimer of Warranties

Services are provided “as-is” and “as-available” without warranties of any kind. We do not guarantee specific results (e.g., follower growth, engagement rates). Automation carries inherent risks including platform penalties.

10. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption. Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England. You consent to the exclusive personal jurisdiction and venue in these courts.

13. Changes to Terms

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance. Significant changes will be notified via email or in-app notice.
